1. Grant of Licence
IQBrave Solutions (Pvt) Ltd. ("Licensor") grants you ("Licensee") a limited, non-exclusive, non-transferable licence to install and use IQBrave ERP POS software (the "Software") solely for your internal business operations at the number of locations and terminals specified in your subscription agreement.
2. Installation & Devices
The Software may be installed on Windows 10 or later devices. Each installation must be associated with a valid active subscription. The number of permitted installations is determined by your subscription tier (Starter: 1 terminal; Professional: unlimited terminals up to 5 branches; Enterprise: unlimited).
3. Restrictions
You may NOT:
- Copy, modify, or create derivative works of the Software
- Reverse engineer, disassemble, or decompile the Software
- Sell, sublicense, rent, lease, or transfer the Software to any third party
- Remove or alter any proprietary notices, labels, or marks on the Software
- Use the Software after your subscription has expired or been terminated
- Use the Software to operate a competing point-of-sale service for third parties
4. Intellectual Property
The Software and all copies thereof are proprietary to IQBrave Solutions (Pvt) Ltd. and title thereto remains in IQBrave Solutions (Pvt) Ltd.. All applicable rights in all copyrights, trademarks, trade secrets, patents, and other intellectual property rights in or associated with the Software are and will remain the property of IQBrave Solutions (Pvt) Ltd..
5. Updates & Maintenance
IQBrave may release updates, patches, and new versions of the Software. Active subscribers will receive these updates at no additional charge during their subscription period. IQBrave reserves the right to discontinue support for older versions with 90 days' notice.
6. Offline Operation
The Software is designed to operate fully offline. Cloud synchronisation features require internet connectivity. IQBrave is not responsible for data loss resulting from failure to maintain adequate local device backups.
7. Disclaimer of Warranties
THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IQBRAVE DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
8. Limitation of Liability
IN NO EVENT WILL IQBRAVE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES. IQBRAVE'S TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE IN THE TWELVE MONTHS PRECEDING THE CLAIM.
9. Termination
This licence is effective until terminated. Your rights under this licence will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must destroy all copies of the Software in your possession.
10. Governing Law
This Agreement shall be governed by the laws of Sri Lanka. Any legal action arising out of this Agreement shall be brought in the courts of Sri Lanka.
