1. Acceptance of Terms
By downloading, installing, or using IQBrave ERP POS software, you agree to be bound by these Terms of Service. If you do not agree, do not use the software. These terms constitute a legally binding agreement between you (the "Subscriber") and IQBrave Solutions (Pvt) Ltd. ("IQBrave").
2. Subscription & Licence
IQBrave grants you a non-exclusive, non-transferable, revocable licence to use the software for your internal business operations during your active subscription period. You may not sublicense, resell, or redistribute the software without written permission from IQBrave.
3. Subscription Fees & Billing
Subscription fees are agreed upon at the time of onboarding and billed on a monthly or annual basis. IQBrave reserves the right to adjust pricing with 30 days' written notice. Failure to pay within 14 days of the due date may result in suspension of access.
4. Acceptable Use
You agree not to:
- Reverse-engineer, decompile, or disassemble the software
- Use the software for any illegal purpose under Sri Lankan law
- Share account credentials with unauthorised third parties
- Attempt to circumvent licence or copy-protection mechanisms
- Use the software to process transactions on behalf of third-party businesses
5. Data Ownership
You retain full ownership of all business data entered into the software (sales records, inventory, customer information). IQBrave does not claim ownership of your business data and will not access it except for technical support purposes with your explicit permission.
6. Service Availability
IQBrave ERP POS is an offline-first application — core functionality works without internet. Cloud sync and dashboard features require internet connectivity. We target 99.5% uptime for cloud services but do not guarantee uninterrupted availability.
7. Limitation of Liability
To the maximum extent permitted by Sri Lankan law, IQBrave shall not be liable for any indirect, incidental, or consequential damages arising from the use or inability to use the software. Our total liability shall not exceed the subscription fees paid in the preceding 3 months.
8. Termination
Either party may terminate the subscription with 30 days' written notice. IQBrave may terminate immediately for material breach of these terms. Upon termination, you will have 30 days to export your data before it is permanently deleted from our servers.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Sri Lanka. Any disputes shall be subject to the exclusive jurisdiction of the courts of Sri Lanka.
